By accessing or using the website onchainmediacorp.com (the "Site") and any services provided by OnChain Media Corp ("Company," "we," "us," or "our"), including those offered through our divisions OnChain Media Labs and OnChain Media Group, you agree to be bound by these Terms of Service ("Terms"). 2. Description of Services
OnChain Media Corp is a parent corporation operating two specialized divisions:
- OnChain Media Labs: Our technology research and development division, providing AI optimization, blockchain transparency infrastructure, fraud detection systems, and the Mercury Reach contextual targeting platform.
- OnChain Media Group: Our ad exchange and marketplace division, operating a high-speed programmatic advertising platform with OpenRTB 2.5/2.6 compliance and native Prebid.js integration.
Our services include but are not limited to: programmatic advertising exchange operations, AI-powered ad optimization, blockchain-verified transaction recording, fraud detection, and related technology services.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration

5. Advertising Platform Terms
5.1 Exchange Operations
Participants in our ad exchange agree to comply with all applicable advertising laws and regulations, including but not limited to FTC guidelines, IAB standards, and applicable data protection regulations. All bid requests and responses must conform to the OpenRTB protocol specifications supported by our platform.
5.2 Blockchain Transaction Records
Advertising transactions processed through our platform are recorded on our OnChain Ledger blockchain infrastructure. These records are immutable and serve as the authoritative record of transaction details, including bid amounts, impression delivery, and auction outcomes.
5.3 Prohibited Activities
You agree not to:
- Submit fraudulent bid requests or responses
- Generate invalid traffic, including bot traffic, click fraud, or impression fraud
- Attempt to manipulate auction outcomes or pricing algorithms
- Serve advertisements containing malware, deceptive content, or illegal material
- Violate any applicable advertising standards or regulations
- Circumvent or attempt to circumvent our fraud detection systems
- Reverse engineer, decompile, or disassemble any part of our platform
- Use our services to collect personal data in violation of privacy laws
6. Intellectual Property
All content, features, and functionality of our website and platform — including but not limited to text, graphics, logos, icons, software, AI algorithms, and blockchain infrastructure — are the exclusive property of OnChain Media Corp or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include the right to modify, reproduce, distribute, or create derivative works from our content or technology.

8. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive for 99.99% uptime and sub-10ms latency, these are performance targets and not guarantees unless specified in a separate Service Level Agreement (SLA).
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONCHAIN MEDIA CORP AND ITS DIVISIONS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless OnChain Media Corp and its divisions, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our services, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are entitled to bring a claim in small claims court.
